چکیده:
پیشرفت فناوری موجب تدوین مقرراتِ حاکم بر توثیق اموال فکری به عنوان یکی از باارزشترین داراییهای شرکتها در اقتصادِ معاصر شدهاست. جلوگیری از متروک شدنِ مال فکری، درآمدزایی و افزایش نفوذ در بازار، از عواملِ مؤثر بر ترویج قراردادهای تجاریسازیِ اموال فکری نظیرِ مجوزهای بهرهبرداری و توثیقِ مال فکری به شمار میآیند. گسترش روابط تجاریِ بینالمللی و اهمیتِ تأمین مالیِ بنگاهها بهعلاوه محدودیتهای اموال مادی، توجهی بیسابقه در نظام حقوقیِ کسب حق وثیقه در اموالِ فکری و حقوق ناشی از قراردادهای اعطای مجوز بهرهبرداری به همراه داشتهاست. چالشِ مطرح درخصوص این قراردادها، عدم کمالِ حقوق هریک از طرفین آن جهت توثیق است. بدینمنظور قوانین کشورها، صِرف قابل انتقال بودنِ حقوق ناشی از قراردادهای مجوز بهرهبرداری را کافی دانستهاند. در کشور ایران که در نظام عقود وثیقهایِ خود معتقد به رویکردِ عملکردگرا بوده و عقود وثیقه برخواسته از اصل آزادی قراردادی را برمیتابد، میتوان از هر سه قسم قرارداد وثیقه مرتبط با مجوز بهرهبرداریِ مال فکری یعنی درج توثیق در این قراردادها، توثیق حقوق ناشی از آن و ایجاد حق وثیقه در حقوقِ مجوزگیرنده بهره جست. تنها مسأله باقیمانده، تأثیر متقابلِ حقوق متعددِ موجود در این قراردادها بر یکدیگر است. با درنظر گرفتن وصف تبعیِ مضاعفِ حق وثیقهگیر در حقوقِ مجوزگیرنده، باید قائل بر این بود که درصورت قابلیت انتقال حقوق و عدم منعِ وی از توثیقِ حقوق خود از سوی مجوزدهنده و طلبکار دارای وثیقه وی، میتوان همزمان در یک قرارداد مجوز بهرهبرداری و با رعایت سلسله مراتب، حقوق وثیقۀ متعددی برای اشخاص مختلف به وسیلۀ وثیقهگذارهای متفاوت تصور کرد.
Significant advances in technology have led to the formulation of legal principles governing the collateralization of intellectual property as one of the most valuable assets of companies in the contemporary economy. Preventing the abandonment of intellectual property, generating revenue and increasing market influence are effective factors in promoting commercialization of intellectual property contracts such as licenses and collateralization of intellectual property. The expansion of international trade relations and the importance of corporate financing, in addition to material property restrictions, have brought unprecedented attention to the legal system of intellectual property collateral and licensing rights. The challenge with these contracts is the imperfection of the rights of each party to authentication. To this end, the laws of the countries have considered the mere transferability of the rights arising from these agreements to be sufficient. Iran have Adopted Functionalism in its Secured Transactions system and all of the collateral contracts based on the principle of contractual freedom are permitted. three types of Contracts are available related to the intellectual property license, ie Acquisition Security Right, Collateralize the rights of license agreement and contractual substitution. With regard to the description of the consequential increased security interest involved in the rights of the secured creditor, in the case of transferability of the rights and preventing the licensee to pledge his rights by licensor and his secured creditor, we could imagine various security rights in the same contract simultaneously.
