چکیده:
مشخصة اصلی قراردادهای نفتی نیاز آنها به سرمایة بالا، طولانی مدت بودن، پیچیدگی های فنی و تکنیکی و عموما حضور دولت به عنوان طرف این قراردادهاست.این عوامل موجب میشود این قراردادها به شدت برای سرمایه گذاران پر ریسک باشد. به همین دلیل سرمایه گذاران همواره به دنبال راهکاری جهت ایجاد ثبات در این قراردادها بوده اند. شروط ثبات یکی از ابزارهایی است که به این منظور از طرف سرمایه گذاران به کار گرفته شده است. اگرچه تردیدهای فراوانی راجع به اعتبار و آثار این شروط همواره وجود دارد و این شروط در رساندن سرمایهگذاران به تمامی اهدافی که انتظار داشته اند، ناتوان بودهاند، اما هنوز هم یکی از ابزارهای موثر در مدیریت ریسکهای سیاسی در قراردادهای نفتی اند که در این پژوهش به آن پرداخته شده است.
Capitalintensiveness, long duration, technical complexity and the presence
of government as contracting party, are the main characteristics of
petroleum agreements. These factors make these agreements so risky
for the investors and make them to seek ways to make these agreements
stable. Stabilization clauses are one of the tools that investors
always have used for that purpose. Although there are too much doubts
on their validity and effectiveness and they have not been successful
in fulfillment all of the investors prospect, but they are one of the most
effective tools in managing political risks, which is the subject of this
research.

اگرچه اين موضوع در تعارض با حق حاکميت و حقوق ناشــي از قرارداد است که در قانون اساسي آن کشور مورد حمايت قرار گرفته ، اما اعمال اين اختيار بر پايۀ الزاماتي اســتوار اســت که به طور خلاصه مي توان گفت عبارت اند از: نخســت آنکه دولت مي تواند به ملاحظۀ مصلحت عمومي قراردادي را فســخ کند که با شــخص خصوصي خارجي در موضوع هاي مربوط به کالاها و خدمات عمومي دارد؛ اما اين عمل به عنوان نقض عهد يا تخلف اداري محســوب خواهد شــد و طرف ديگر را به موجب مقررات قانوني محق دريافت خسارت مي گرداند.
