چکیده:
انتقال حقوق و تعهدات قراردادی عملی حقوقی است که به موجب آن موقعیت قراردادی طرف قرارداد با تمام حقوق و تعهدات به فرد ثالثی منتقل میشود. در قوانین ایران در مواد متعددی مستقیماً و یا به صورت غیر مستقیم در خصوص این نهاد مقرراتی وضع شده است؛ باب مستقلی تحت عنوان انتقال حقوق و تعهدات قراردادی یا انتقال قرارداد پیشبینی نشده است؛ در کلام فقها نیز باب مستقلی در انتقال یا واگذاری قرارداد وجود ندارد اما در قالب عقود مضاربه، مزارعه، اجاره و مانند آنها، در خصوص این نهاد اظهارنظر نمودهاند، به نحوی که از محتوای کلام آنان میتوان برداشت نمود که این نهاد مختص عقود موصوف نیست بلکه می-توان آن را جزء قواعد عمومی قراردادها تلقی کرد؛ انتقال قرارداد که عموما فقها آن را در قالب عقد صلح مطرح نمودهاند، موجب بری شدن انتقال دهنده و انتقال حقوق قراردادی نیز با همان کیفیت وکمیت و با حفظ تضمینات خواهد بود؛ شرط مباشرت یا شخصی بودن تعهد را می توان از موانع انتقال قرارداد قلمداد نمود.

While considering the comparative analysis of international documents and the analysis of the legal nature of the law, we must say that the criterion of the existence or absence of rights and obligations is that, in this view, the dubious nature of the International Convention on the International Sale of Goods (in This field is silent (transfer of rights and obligations does not have to be declared declined; Moreover, from the past, the transfer of rights and contractual obligations has been made in the form of a peace treaty as a fixed contract
