چکیده:
چکیده شرکت های تجاری در حقوق ایران در قالب های خاصی تشکیل یا تاسیس و شروع به فعالیت می نمایند.انحلال هر یک از انواع شرکت ها و تشکیل شرکت های جدید علاوه بر تحمل هزینه های فراوان متضمن رعایت تشریفات گوناگون و در نتیجه صرف وقت زیاد می باشد. یکی از اثار تجزیه، ایجاد شرکت یا شرکت های جدیدالتاسیس است. قالبی که شرکت های اخیر؛ در چارچوب ان باید به فعالیت تجاری بپردازند در نوع مسدولیت شرکاء، نحوه مراجعه طلبکاران به شرکت و شرکاء و سهم یا سهم الشرکه دار شدن شرکاء و ... موثر می باشد. در ماده ۵۹۷ لایحه 1391، صرفا؛ نسبت به دو نوع شرکت یعنی شرکت تعاونی سهامی خاص و تعاونی غیرسهامی، بطور مجمل تعیین تکلیف شده است و در خصوص سایر شرکت ها، موضوع؛ مسکوت مانده است و در هاله ای از ابهام قرار دارد. عدم پیش بینی قواعد کلی در خصوص تبدیل شرکت در قانون تجارت و لایحه اصلاحی ان و ابهام در خصوص قالب شرکت جدیدالتاسیس در نتیجه تجزیه، با علم به این موضوع که قالب تعیینی از حیث حقوق و تعهدات شرکت، سهامداران و اشخاص ثالث تاثیر گذار می باشد بررسی دقیق موضوع را از لحاظ حقوقی و رویه عملی می طلبد.
