چکیده:
اگرچه معاهدات سرمایهگذاری، مکانیزم مؤثری برای حمایت از سرمایهگذار خارجی تلقی میشوند، میتوانند اختیارات سیاستگذاری و مقررهگذاری دولت میزبان را محدود کنند. به همین علت ممکن است دولتها با پیشبینی امکان طرح دعوای سرمایهگذار در دیوانهای داوری، از اجرای سیاستهای عمومی مشروع خود بهویژه در حمایت از منافع امنیتی، محیطزیست، نظم عمومی، اخلاق عمومی و بهداشت عمومی خودداری ورزند. بر همین اساس، در معاهدات مدرن سرمایهگذاری، دولتها از طریق درج شروط استثنا به دنبال حمایت از منافع اساسی خود هستند. هدف اصلی این پژوهش، بررسی قابلیت توصیف ماهیت حقوقی این شروط بهعنوان عامل محدودکنندة قلمرو تعهدات ماهوی معاهده و آثار مترتب بر چنین توصیفی در داوری سرمایهگذاری است. در همین راستا، پس از نگاهی به چارچوب کلی این شروط، با تحلیل قواعد تفسیر معاهدات و رویهقضایی و داوری بینالمللی روشن خواهد شد که علیرغم اختلافنظر راجع به ماهیت شروط استثنا در رویة بینالمللی، این شروط، محدودکنندة قلمرو تعهدات ماهوی معاهده هستند. چنین توصیفی از ماهیت حقوقی سبب ایجاد آثار خاصی در رسیدگی داوری میشود.
Although investment treaties are considered as an effective tool to protect foreign investors, they can also limit the host state’s regulatory powers. That is why states, anticipating the possibility of initiation of arbitration proceedings brought by investors before arbitral tribunals, may refrain from pursuing their legitimate public policies, especially in the interests of security, the environment, public order, public morality and public health. Based on this background, states seek to protect their essential interests by incorporating Exception clauses in investment treaties. The main aim of this article is to examine the characterization of the Exception clause, as limitation on the scope of the substantive obligations of BITs and relevant effects of such a classification. The authors initially try to provide a general framework of such clauses that includes a definition, distinction from other clauses and review of treaty practice of states. They then examine the legal classification of these clause. They will demonstrate that Exception clauses are characterized as a treaty-internal limitation on the scope of the substantive obligations. Such a characterization will raise important effects in arbitration proceeding.

با توجه به اينکه شروط استثنا از يک سو کارکرد و تأثير مشابهي همچون شروط «تحديد موضوعي» دارند و از سوي ديگر مشابه حالت ضرورت عرفي هستند، ماهيت شروط استثنا، هم در معاهدات سرمايه گذاري و هم در رويۀ داوري و قضايي بين المللي مبهم است و لذا بايد مشخص شود که آيا همچون عوامل رافع ، دفاع ماهوي هستند يا آنکه همانند شروط تحديد موضوعي، محدودکنندة قلمرو معاهده تلقي ميشوند.
