چکیده:
شیوه های جایگزین حل و فصل اختلافات امروزه یک ماهیت کم و بیش شناخته شده در کلیه نظام های حقوقی است. در میان این شیوه ها، روش مذاکره با توجه به مزایای آن از درجه اهمیت بالایی برخوردار است به طوری که از نظر اولویت بکارگیری شیوه ها توصیه های زیادی به تقدم مذاکره بر سایر شیوه ها شده است. شناخت مذاکره و اوصاف و ویژگی های آن در انتخاب شیوه و همچنین انجام فرآیند آن به طرفین اختلاف و مخصوصاً به وکیل دادگستری به عنوان شخص متخصص کمک می نماید تا نتیجه مطلوب تری بدست آورد. در بسیاری از کشورها وکالت تخصصی، برخی از مشکلات ناشی از مفاهیم نوین حقوقی مانند شیوه های جایگزین را برطرف نموده است. در این مقاله ضمن بیان جایگاه مذاکره در روش های جایگزین، به تشریح کلیه ابعاد شیوه مذاکره برای وکلا و همچنین تحلیل حقوقی آن می پردازیم. چنانچه در یک قرارداد شرط مذاکره درج شود این شرط یک شرط فعل بوده و تعهد ایجاد شده، علاوه بر اوصاف متعدد از جمله معلق بودن به وقوع اختلاف بین طرفین، حاوی دو تعهد ایجابی و سلبی می باشد. تعهد ایجابی مبنی بر التزام طرفین به انجام مذاکره با حسن نیت و تعهد سلبی مبنی بر عدم حق مراجعه به مراجع قضایی در وهله اول. در حقوق کشورهای دیگر الزام آوری این شرط را می توان از جمله در مسئولیت پرداخت هزینه های دادرسی و یا پرداخت غرامات دید اما در حقوق ایران ضمانت اجرایی به این شکل بدون تصریح قانونی امکان پذیر نیست.

In the law of other countries, the binding of this condition can be seen for example, in the responsibility of paying court fees or paying damages. But in Iranian law, an executive guarantee in this way is not possible without legislation.
