چکیده:
در بررسی روند توسعه حقوق قراردادها میتوان ملاحظه نمود که این بخش از حقوق خصوصی به عنوان حقوقی پویا و در حال رشد، شاهد پیشرفتهای فراوانی بوده و میباشد. گسترش روز افزون زمینههای مختلف حقوق قراردادها در جهت شفافیت و نظم هر چه بیشتر معاملات، نشان دهنده حرکت بیوقفه این بخش به سمت تحقق اهداف عالیه فلسفه حقوق از جمله عدالت و انصاف است که یکی از شقوق این موضوع در بحث مسئولیت ناشی از نقض تعهدات نمایان میشود. توضیح اینکه تخلف از اجرای تعهد موجب ایجاد مسئولیت برای متخلف میگردد و مسئولیت نیز در یک طبقه بندی کلی به دو نوع تقسیم میشود: مسئولیت قهری (ضمان قهری یا الزامات خارج از قرارداد) و مسئولیت قراردادی. تمیز مسئولیت قراردادی از ضمان قهری گاه دشوار است که این اشکال، ناشی از تردید در طبیعت رابطه حقوقی منبع تعهد است. مسئولیت قراردادی طرفین عقد تا جایی است که تخلف مربوط به تعهدی باشد که در زمان تشکیل عقد مورد توافق طرفین قرار گرفته باشد. اما طرفین در جریان مذاکرات قبل از انعقاد قرارداد نیز دارای تعهداتی هستند که باید به آن پایبند باشند. با توجه به این مطلب، آیا در صورت تخلف از تعهدات پیش از انعقاد عقد، باید قائل به مسئولیت متخلف شد؟ اگر پاسخ مثبت باشد، این مسئولیت در چه قالبی میگنجد و به چه میزان میباشد؟ آیا چنین تخلفی در حیطه مسئولیت قراردادی قرار میگیرد یا در حیطه مسئولیت قهری یا هیچکدام؟ آیا تخلف از چنین تعهدات مقدماتی ضمانت اجرایی دارد یا خیر و در صورت مثبت بودن پاسخ، محدوده و میزان این ضمانت اجراء تا چه اندازهای خواهد بود؟ به هر حال بررسی تعهدات پیش از قرارداد و ضمانت اجرای تخلف از آنها به عنوان یک ضرورت در حقوق قراردادها مطرح میباشد و در این تحقیق سعی میگردد که بررسی نسبتا منسجمی در خصوص موضوع فوق صورت گیرد- امری که در حقوق ما معمولا به صورت پراکنده به آن اشاره شده است.
In examining the development process of contract law, it can be seen that this part of private law, as a dynamic and growing law, has witnessed many developments. The ever-increasing expansion of various fields of contract law in the direction of greater transparency and orderliness of transactions, shows the continuous movement of this sector towards the achievement of the high goals of legal philosophy, including justice and fairness, which is one of the divisions of this issue in the discussion of liability due to violations. Commitments appear. Explaining that the violation of the obligation creates responsibility for the violator, and the responsibility is divided into two types in a general classification: forced responsibility (forced guarantee or requirements outside the contract) and contractual responsibility. It is sometimes difficult to distinguish contractual responsibility from forced guarantee, which is caused by doubts about the nature of the legal relationship that is the source of the obligation. The contractual responsibility of the parties to the contract is to the extent that the violation is related to the obligation that was agreed upon by the parties at the time of the conclusion of the contract. But the parties also have obligations that they must adhere to during the negotiations before concluding the contract. According to this article, in case of violation of obligations before concluding the contract, should the violator be held responsible? If the answer is yes, in what form does this responsibility fit and to what extent? Is such a violation in the scope of contractual responsibility or in the scope of coercive responsibility or neither? Does the violation of such preliminary obligations have an enforceable guarantee or not, and if the answer is positive, what is the scope and extent of this enforceable guarantee? In any case, the examination of pre-contractual obligations and the guarantee of their violation is considered as a necessity in the law of contracts, and in this research, an attempt is made to conduct a relatively coherent examination of the above issue; Something that is usually mentioned sporadically in our laws.
