چکیده:
زمینه و هدف: امروزه شرکتهای سهامی، متصدی گسترهی وسیعی از فعالیتهای اقتصادی و تجاری میباشند؛ بر این اساس، امری دور از انتظار نخواهد بود که درنتیجه فعالیتهای آنها به اشخاص دیگر خسارتهایی وارد شود. با این وصف عدالت حقوقی اقتضا دارد همانگونه که اشخاص حقیقی، اگر خسارتی به دیگران وارد آوردند باید متحمل خسارت و مجازات شوند، در مورد اشخاص حقوقی نیز باید چنین باشد و هیچ ضرری نباید بدون جبران باقی بماند. روش: پژوهش حاضر با روش توصیفی و تحلیلی انجامشده است. یافتهها و نتایج: در نظامحقوقیایران قانونگذار و رویهقضایی در خصوص انتساب مسئولیت به شرکتهای سهامی در بیشتر دعاوی از نظریه تقصیر جهت احراز انتساب به خوانده استفاده نمودهاند و استناد به مبانی دیگر مسئولیت مدنی بهصورت استثناء در قوانین و رویهها مطرح گردیده است و با عنایت به اینکه قانونگذار در ماده ۱۴۳ قانون مجازات اسلامی مصوب ۱۳۹۲ مسئولیت کیفری شخص حقوقی را از رهگذر احراز تقصیر نمایندگان شخص حقوقی به رسمیت شناخته است. بااینحال بهجای نظریه منتخب قانونگذار یعنی نظریه مسئولیت مبتنی بر نمایندگی پذیرش نظریه مسئولیت سازمانی که با قبول فرضیه واقعی بودن شخص حقوقی تقصیر مؤسسه اعتباری بهعنوان شخص حقوقی را نه از مجرای تقصیر یک یا چند فرد بلکه از رهگذر فرهنگ جرمزای حاکم بر شخص حقوقی احراز میکند، بر نظریه نمایندگی مقدم است؛ مخصوصاً اینکه در جرائمی هم چون پولشویی و اخلال در نظام اقتصادی کشور شناسایی اشخاص حقیقی مقصر در عمل بسیار دشوار است.

Today, joint-stock companies are responsible for a wide range of economic and commercial activities; Based on this, it will not be far from expected that as a result of their activities, damages will be inflicted on other people. For this reason, the ambiguity in the legal regime governing their civil responsibility brings the rights of a wide range of people under its radius; Although the examination of the various aspects of the civil responsibility of these persons as one of the challenging legal categories has been the attention of the writers, legislators and the opinions of the courts of Iran; However, considering that the roots of the formation of joint-stock companies should be sought in the field of countries with international legal systems, such as the United States and England, the study of the laws and procedures of the aforementioned legal systems can be used as a model to overcome the ambiguities of the system. Iranian law should be used.
