Abstract:
زمینه و هدف: قراردادها ابزارهای بسیار مهمی برای تنظیم روابط تجاری و کاهش ریسکهای مرتبط با آن هستند. با توجه به اهمیت قراردادها، باید در تنظیم آنها دقت لازم به عمل آورد و بندها و شروط کلیدی را برای محافظت از منافع خود در نظر گرفت. هدف مقاله حاضر شروط مؤثر بر مدیریت ریسک در قراردادها است. مواد و روشها: مقاله حاضر توصیفی- تحلیلی است. مواد و دادهها کمی است و از فیشبرداری در گردآوری مطالب استفاده شده است. ملاحظات اخلاقی: در این مقاله، اصالت متون، صداقت و امانتداری رعایت شده است. یافتهها: شرط تعهد به جبران خسارت قراردادی، شرط معافیت از مسئولیت و شرط فورس ماژور، تغییر اوضاعواحوال و شرط تعدیل قرارداد، شرط پرداخت ثمن با ارز یا طلا، شرط قانون حاکم و شرط بیمه از مهمترین شروط مؤثر بر مدیریت ریسک در قراردادها است. تخصیص قراردادی ریسک با تکیه بر اصل آزادی قراردادی و ملاحظه ترجیحات و محدودیتهای متعاملان در حداکثر کردن بازده قراردادی، مؤثرترین و کارآمدترین شیوه تخصیص بهشمار میرود. نتیجه: از آنجا که منشأ ریسک مجموعه اتفاقها یا شرایطی قطعی است که بهتنهایی یا در ترکیب با عناصر دیگر سبب بروز عدم قطعیت یا ریسک میشود و در نتیجه آثاری فعلیت مییابد که منجر به بروز انحراف پیش بینی نشده در اهداف قرارداد اعم از سود یا زیان میشود. در نتیجه شروط مؤثر بر مدیریت ریسک در قراردادها میتواند کاهش ریسک را به دنبال داشته باشد و به استواری و تداوم قراردادها کمک کند.

Conclusion: Since the source of risk is a set of certain events or conditions that alone or in combination with other elements cause uncertainty or risk and as a result, effects are actualized that lead to unexpected deviations in the goals of the contract, including profit. or losses, therefore, effective terms on risk management in contracts can lead to risk reduction and help the stability and continuity of contracts.
