چکیده:
معاملات مدیریتی، بخشی از معاملات با اشخاص وابستهاند که شرکتها با مدیران اصلی واحد تجاری یا خویشاوندان نزدیک به آنها انجام میدهند که تا کنون در ادبیات پژوهشی کمتر به آن توجه شده است. مدیران شرکتها، بهخصوص مدیرعامل ممکن است بهصورت فرصتطلبانه از قدرت خویش در راستای تسهیل معاملات مدیریتی استفاده کنند تا از این طریق منافع خویش را حداکثر کنند؛ به همین دلیل آنها ممکن است برای گمراهکردن سرمایهگذاران شرکت، کیفیت گزارشگری مالی را کاهش دهند؛ ازاینرو، پژوهش حاضر با هدف بررسی تأثیر قدرت مدیرعامل بر رابطة بین معاملات مدیریتی و کیفیت گزارشگری مالی صورت گرفته است. نمونه پژوهش شامل 145 شرکت پذیرفتهشده در بورس اوراق بهادار تهران است که اطلاعات گزارشهای مالی آن شرکتها برای هفت سال (1391 تا 1397) بررسی و تجزیه و تحلیل شد. برای آزمون فرضیههای پژوهش از مدلهای رگرسیون چندمتغیره با دادههای تابلویی به روش اثرات ثابت استفاده شده است. یافتههای حاصل از آزمون فرضیههای پژوهش نشان دادند در شرکتهای پذیرفتهشده در بورس اوراق بهادار تهران، معاملات مدیریتی بر کیفیت گزارشگری مالی شرکتها تأثیر منفی معناداری دارند. این بدان معناست که افزایش معاملات مدیریتی موجب کاهش کیفیت گزارشگری مالی شرکتها میشود. همچنین یافتههای پژوهش نشان دادند قدرت مدیرعامل موجب تشدید رابطة منفی بین معاملات مدیریتی و کیفیت گزارشگری مالی شرکتها میشود. با توجه به اهمیت کیفیت گزارشگری مالی در فرایند تصمیمگیری استفادهکنندگان گزارشهای مالی، سرمایهگذاران باید بدانند مدیران برای پوشاندن اثرات سوء معاملاتی مدیریتی، به کاهش کیفیت گزارشگری مالی اقدام میکنند و با افزایش قدرت مدیرعامل، احتمال تشدید چنین رابطهای بیشتر میشود؛ درنتیجه، چنین اقداماتی میتواند سرمایهگذاران را گمراه کند یا اثرات نامساعد بر ثروت سهامداران داشته باشد.
Management transactions refer to a part of transactions with related parties being conducted by companies with the main business unit managers or their relatives which has so far received less attention in the research literature. Company managers, especially CEOs, are motivated to use their power in facilitating management transactions to maximize their interests; for this reason, they may minimize financial reporting quality for misleading the company investors. Thus, the present study aimed to investigate the effect of CEO power on the relationship between management transactions and financial reporting quality. The research sample included 145 companies listed on the Tehran Stock Exchange, the financial reporting information of which was analyzed during 2012-2018. In order to test the research hypotheses, the multivariate regression model with panel data and fixed effects method are conducted. The findings obtained from testing the research hypotheses indicated that management transactions have a significant negative effect on the financial reporting quality of the companies listed on the Tehran Stock Exchange. In other words, increasing management transactions reduces financial reporting quality. In addition, the findings show that CEO power increases the negative relationship between management transactions and financial reporting quality. Given the importance of financial reporting quality in the decision-making process of financial reporting users, investors should know that managers reduce the quality of financial reporting to cover the effects of managerial misconduct, and as the power of the CEO increases, such relationships are more likely to intensify. As a result, such actions can mislead investors or have adverse effects on shareholder wealth.
