Abstract:
طرفین قرارداد داوری ممکن است بهجای انتخاب «قانون» یک کشور، «قواعد حقوقی» را بهعنوان قانون حاکم بر دعوای خود برگزینند. انتخاب قواعد حقوقی توسط طرفین، تنها درصورتی ممکن است که قواعد حل تعارض قابل اعمال، چنین اختیاری را به آنها اعطا نماید. اصل حاکمیت اراده طرفین در انتخاب قواعد حقوقی در برخی از اسناد و قوانین بهرسمیت شناخته شده است اما آزادی دیوان داوری در انتخاب این قواعد محدود میباشد. باوجود این، امروزه در پرتو دیدگاه غیرملیکردن داوری، آزادی این دیوانها در حال گسترش است. در اسناد، دعاوی و قراردادهای بینالمللی، قواعد و اصولی رشد و نمو پیدا کرده و در حال توسعه است که تحت عنوان «اصول قراردادهای تجاری بینالمللی» شناخته میشود. گفته میشود این اصول بهعنوان قواعد حقوقی متناسب، قابلیت اعمال بر دعاوی تجاری بینالمللی توسط دیوانهای داوری را دارد. این مدّعی یا فرض در این مقاله مورد بررسی قرار میگیرد.
The parties to the arbitration agreement may choose “rules of law” instead of “law” of a country as the law governing their dispute. The Choosing rules of law by the parties is possible only if the applicable conflict of laws rules authorize them. The principle of party autonomy to choose the rules of law has been recognized in some instruments and also by most countries in the world, but the freedom of the arbitral tribunal to choose the rules is limited. However, today in light of the denationalized theory of arbitration, the freedom of these tribunals is expanding. From international legal instruments, international commercial contracts and arbitrations, rules and principles have been emanated which are known as “Principles of International Commercial Contracts”. It is said that these principles as appropriate rules of law will have the potential of applicability to international commercial disputes by arbitral tribunals.
