Abstract:
در حقوق ایران اصل بر انتقال پذیری حقوق مالی می باشد؛ بدین سان که هر شخصی حق دادر حقوق مالی خود را به اراده خود به دیگری واگذار نماید. به نظر می رس هر آن قسم از حقوق که قابلیت انتقال به دیگران را دارد از طریق قهری (مانند ارث) به دیگران قابل انتقال می باشد. به لسان حقوقی رابطه تساوی بین قابلیت انتقال حقوق بصوررت ارادی و قهری وجود دارد. در این رابطه تفاوتی میان حقوق عینی و دینی نیست، مگر این که این حقوق قائم به شخص باشد که در این وضعیت نمی توان قائل به انتقال پذیری این نوع حقوق شد. با توجه به این مقدمات راجع به انتقال قرارداد نیز می توان گفت، انتقال همزمان حقوق و تعهدات قراردادی، وضعیتی است که فرد موقعیت قراردادی خود را به عنوان طرف قرارداد، به شخص ثالثی واگذار نماید و او را در اجرای تعهدات و بهره مندی از حقوق جانشین خود می سازد. در خصوص ملاک در قابلیت انتقال حقوق و تعهدات قراردادی بین نویسندگان حقوقی اختلاف نظر است و به نظر ما، مستمر بودن عقد (در مقابل آنی بودن) و عدم وجود حقوق و تعهدات غیر قایم به شخص از ملاکهای اصلی است.

In legal terms, there is an equal relationship between the ability to transfer rights voluntarily and forcibly. In this regard, there is no difference between objective and religious rights, unless these rights are based on a person, in which case, transferability of these types of rights cannot be considered. According to these prerequisites regarding the transfer of the contract, it can also be said that the simultaneous transfer of contractual rights and obligations is a situation in which a person hands over his contractual position as a party to a third party and allows him to fulfill his obligations and benefit from his rights. He makes his successor. Regarding the criteria for transferability of rights and contractual obligations, there is a difference of opinion among legal writers, and in our opinion, the continuity of the contract (as opposed to being instantaneous) and the absence of rights and obligations not attributable to a person are the main criteria.
